Terms and Conditions

§1 Activity

The contractor undertakes to provide the service properly and professionally. They are committed to the standards and positions of the German Association for Supervision e.V. (DGSv).

§2 Involvement of Third Parties in the Contract

The client undertakes to involve persons designated by them, who will use the consulting services, in the conclusion of this contract in a suitable manner.

§3 Confidentiality, Retention and Return of Documents, Right to Inspect

(1) The contractor commits to using all business and trade secrets and other business or operational facts that become known to them during their activity only within the scope of their work for the client. Any transfer or disclosure of such information requires the prior written consent of the client.

(2) The contractor commits to maintaining confidentiality about the contents of the supervision with the persons designated by the client. However, if the supervision addresses matters that relate to the structures, tasks, and responsibilities of the overarching organization, an exception to the confidentiality obligation is to be made in the following sense: confidentiality in personal matters and openness in structural matters. This agreement particularly concerns feedback discussions with management.

(3) The client provides the contractor with all information and documents necessary for the exercise of their activity. The client reserves the right to grant the contractor only the right to inspect the documents required.

(4) The contractor commits to properly storing all business or operational documents provided in the course of their consulting activity so that no third parties can gain access to them.

(5) Immediately after the termination of this contract, the contractor must return all documents and materials that they are obliged to retain in accordance with §3, (4) to the client.

§4 Payment Terms
The invoice amounts are payable without deduction within 14 days.
§5 Temporary Impediment of the Contracting Parties

(1) If the client or the persons designated by them cancel an agreed appointment less than 48 hours before its start, the full fee is due as a cancellation charge if no alternative appointment can be found. Appointments that are canceled less than 24 hours in advance must be fully compensated.

(2) If the contractor cancels a consulting appointment, they must promptly name a new appointment.

§6 Withdrawal

If the client withdraws from the entire contract less than 14 days before the first consulting/training session, a one-time cancellation fee of 10% of the contract value will be charged.

§7 Side Agreements and Amendments to the Contract

There are no verbal side agreements at the time of the conclusion of the contract. Changes and supplements to this contract must be made in writing to be effective.

§8 Jurisdiction

The jurisdiction is the residence of the contractor.

§9 Severability Clause

If individual provisions of this contract are invalid, this does not affect the validity of the other provisions of the contract.

§10 Choice of Law

This contract is subject to the law of the Federal Republic of Germany.
